Supplier Terms & Conditions

As a supplier to Hexagon, it is understood that when accepting our purchase orders, your organization agrees to meet the following stipulations / AS9100 requirements. These requirements are to be considered as terms and conditions to all aerospace purchases.
 
1. Documentation, Inspection, and Acceptance 
Supplier shall provide all required certifications, inspection reports, material certifications, test results, and other documentation specified on the purchase order, drawing, or referenced specifications with each shipment. Documentation may be provided as hard copies shipped with the product or electronically via email. Supplier shall perform all inspections and tests in accordance with defined acceptance criteria specified on the purchase order, drawings, or applicable specifications and standards. The purchase order shall not be considered complete until all required documentation has been received and accepted by Hexagon. 
 
2. Right of Access 
Supplier acknowledges Hexagon Machine & Mfg., LLC’s (Hexagon’s) right of access to Supplier’s facilities, manufacturing processes, inspection activities, and applicable quality records during normal business hours. This right of access extends to Hexagon, Hexagon’s customers, and applicable regulatory authorities for the purpose of verifying conformity of product and quality system effectiveness. Access shall be limited to records, processes, and product applicable to Hexagon contracts. 
 
3. Flow-Down Requirements 
Supplier shall flow down all applicable purchase order requirements, drawings, specifications, quality requirements, and regulatory requirements to any sub-tier suppliers or subcontractors performing work on Hexagon product. This includes requirements related to quality management, product safety, counterfeit prevention, record retention, and right of access. Supplier retains full responsibility for sub-tier supplier conformity. 
 
4. Change Control and Notification 
Supplier shall notify Hexagon immediately of any of the following, prior to implementation or shipment: 
  • Changes to manufacturing processes, methods, or parts obsolescence
  • Changes to materials, raw material sources, or sub-tier suppliers 
  • Changes affecting product configuration, form, fit, function, or drawing revision 
  • Changes in manufacturing or inspection facility location 
  • Discovery of anomalies, escapes, or nonconformances affecting Hexagon product 
 
Hexagon reserves the right to review and approve such changes before work continues or product is shipped. 
 
5. Configuration Management and Traceability 
Supplier shall maintain configuration control to ensure that only current and approved drawings, specifications, and purchase order requirements are used. Unauthorized deviations or substitutions are prohibited. Any configuration change requires prior written approval from Hexagon. Supplier shall maintain identification and traceability of product, materials, and records as required by the purchase order, drawings, or applicable specifications. 
 
6. Product Safety, Awareness, and Ethical Behavior 
Supplier shall ensure personnel performing work affecting product quality are aware of their contribution to product conformity and safety, and of the importance of ethical behavior. This includes accurate reporting of results and the prohibition of falsification, concealment, or misrepresentation of inspection, test, or quality records. 
 
7. Control of Nonconforming Product 
Supplier shall identify, segregate, and control nonconforming product to prevent unintended use or shipment. Supplier shall not ship nonconforming product without prior written authorization from Hexagon. 
 
8. Corrective Action 
Supplier shall perform root cause analysis and implement effective corrective action in response to Hexagon-issued nonconformance reports or concerns, within the timeframe specified by Hexagon. 
 
9. Record Retention 
Supplier shall retain records related to machining, inspection, testing, and certification of Hexagon products for a minimum of seven (7) years, unless otherwise specified by contract, customer, or regulatory requirements. Records shall remain legible, identifiable, retrievable, and protected from damage or loss. 
 
10. Counterfeit and Material Authenticity 
Supplier shall ensure the authenticity of all raw materials and components provided to Hexagon. This includes maintaining a documented process for counterfeit part prevention, including verification of material certifications and approved sources, and associated training and controls, as applicable to their operations.
 
11. Customer, Regulatory, and Special Process Requirements 
Supplier shall comply with all Hexagon and Hexagon customer-specific requirements stated on the purchase order, drawings, notes, or referenced specifications, including applicable regulatory requirements (including DFARS 252.204-7012, when applicable). Supplier shall not perform or subcontract special processes (including but not limited to heat treating, plating, coating, and nondestructive testing) unless the process and service provider are approved by Hexagon. Where process outputs cannot be fully verified by subsequent inspection or testing, Supplier shall ensure such processes are validated and controlled in accordance with applicable requirements, standards, and approvals. 
 
12. Export-Controlled and Proprietary Information 
Supplier shall protect all Hexagon-provided technical data, drawings, specifications, and other information identified as proprietary, confidential, or export-controlled (including ITAR or EAR). Supplier shall prevent unauthorized access, disclosure, transfer, or export of such information and shall not provide access to any unauthorized person, entity, or foreign national without prior written authorization from Hexagon and, when required, applicable government approval. 
 
13. Quality Certification Status 
Supplier shall notify Hexagon within one (1) month of any change to its quality certification status, including AS9100, ISO 9001, NADCAP, or other applicable certifications. 
 
14. Supplier Performance 
Supplier performance shall be monitored based on on-time delivery, product conformity, responsiveness, and overall service. Continued approval as a Hexagon machine shop supplier is contingent upon acceptable performance and Hexagon may, as appropriate, provide performance feedback or performance score information to the Supplier to support continuous improvement and continued approval status.
